POSTING AGENTS<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tA &quot;Posting Agent&quot; is a third-party agent, service, or intermediary<\/p>\r\n<p>\r\n\tthat offers to post Content to the Service on behalf of others. NO SPAM POLICY<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tYou understand and agree that sending unsolicited email advertisements to&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO email addresses or through HaitiPRO computer systems, which is&nbsp;<\/p>\r\n<p>\r\n\texpressly prohibited by these Terms, will use or cause to be used servers&nbsp;<\/p>\r\n<p>\r\n\tlocated in California. &nbsp;Any unauthorized use of HaitiPRO computer systems&nbsp;<\/p>\r\n<p>\r\n\tis a violation of these Terms and certain federal and state laws, including&nbsp;<\/p>\r\n<p>\r\n\twithout limitation the Computer Fraud and Abuse Act (18 U.S.C. &Acirc;&sect; 1030 et&nbsp;<\/p>\r\n<p>\r\n\tseq.), Section 502 of the California Penal Code and Section 17538.45 of the&nbsp;<\/p>\r\n<p>\r\n\tCalifornia Business and Professions Code. &nbsp;Such violations may subject the&nbsp;<\/p>\r\n<p>\r\n\tsender and his or her agents to civil and criminal penalties.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t10. ACCESS TO THE SERVICE<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO grants you a limited, revocable, nonexclusive license to access&nbsp;<\/p>\r\n<p>\r\n\tthe Service for your own personal use. &nbsp;This license does not include:&nbsp;<\/p>\r\n<p>\r\n\t(a) access to the Service by Posting Agents; or (b) any collection,&nbsp;<\/p>\r\n<p>\r\n\taggregation, copying, duplication, display or derivative use of the Service&nbsp;<\/p>\r\n<p>\r\n\tnor any use of data mining, robots, spiders, or similar data gathering and&nbsp;<\/p>\r\n<p>\r\n\textraction tools for any purpose unless expressly permitted by HaitiPRO.&nbsp;<\/p>\r\n<p>\r\n\tA limited exception to (b) is provided to general purpose internet search&nbsp;<\/p>\r\n<p>\r\n\tengines and non-commercial public archives that use such tools to gather&nbsp;<\/p>\r\n<p>\r\n\tinformation for the sole purpose of displaying hyperlinks to the Service,&nbsp;<\/p>\r\n<p>\r\n\tprovided they each do so from a stable IP address or range of IP addresses&nbsp;<\/p>\r\n<p>\r\n\tusing an easily identifiable agent and comply with our robots.txt file.&nbsp;<\/p>\r\n<p>\r\n\t&quot;General purpose internet search engine&quot; does not include a website or&nbsp;<\/p>\r\n<p>\r\n\tsearch engine or other service that specializes in classified listings&nbsp;<\/p>\r\n<p>\r\n\tor in any subset of classifieds listings such as jobs, housing, for sale,&nbsp;<\/p>\r\n<p>\r\n\tservices, or personals, or which is in the business of providing classified&nbsp;<\/p>\r\n<p>\r\n\tad listing services.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO permits you to display on your website, or create a hyperlink&nbsp;<\/p>\r\n<p>\r\n\ton your website to, individual postings on the Service so long as such use&nbsp;<\/p>\r\n<p>\r\n\tis for noncommercial and\/or news reporting purposes only (e.g., for use in&nbsp;<\/p>\r\n<p>\r\n\tpersonal web blogs or personal online media). &nbsp;If the total number of such&nbsp;<\/p>\r\n<p>\r\n\tpostings displayed or linked to on your website exceeds one hundred (100)&nbsp;<\/p>\r\n<p>\r\n\tpostings, your use will be presumed to be in violation of the TOU,&nbsp;<\/p>\r\n<p>\r\n\tabsent express permission granted by HaitiPRO to do so. &nbsp;You may also&nbsp;<\/p>\r\n<p>\r\n\tcreate a hyperlink to the home page of HaitiPRO sites so long as the&nbsp;<\/p>\r\n<p>\r\n\tlink does not portray HaitiPRO, its employees, or its affiliates in a&nbsp;<\/p>\r\n<p>\r\n\tfalse, misleading, derogatory, or otherwise offensive matter.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO offers various parts of the Service in RSS format so that users&nbsp;<\/p>\r\n<p>\r\n\tcan embed individual feeds into a personal website or blog, or view postings&nbsp;<\/p>\r\n<p>\r\n\tthrough third party software news aggregators. &nbsp;HaitiPRO permits you to&nbsp;<\/p>\r\n<p>\r\n\tdisplay, excerpt from, and link to the RSS feeds on your personal website&nbsp;<\/p>\r\n<p>\r\n\tor personal web blog, provided that (a) your use of the RSS feed is for&nbsp;<\/p>\r\n<p>\r\n\tpersonal, non-commercial purposes only, (b) each title is correctly linked&nbsp;<\/p>\r\n<p>\r\n\tback to the original post on the Service and redirects the user to the&nbsp;<\/p>\r\n<p>\r\n\tpost when the user clicks on it, (c) you provide, adjacent to the RSS&nbsp;<\/p>\r\n<p>\r\n\tfeed, proper attribution to &#39;HaitiPRO&#39; as the source, (d) your use or&nbsp;<\/p>\r\n<p>\r\n\tdisplay does not suggest that HaitiPRO promotes or endorses any third&nbsp;<\/p>\r\n<p>\r\n\tparty causes, ideas, web sites, products or services, (e) you do not&nbsp;<\/p>\r\n<p>\r\n\tredistribute the RSS feed, and (f) your use does not overburden&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO&#39;s systems. &nbsp;HaitiPRO reserves all rights in the content of&nbsp;<\/p>\r\n<p>\r\n\tthe RSS feeds and may terminate any RSS feed at any time.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tUse of the Service beyond the scope of authorized access granted to you by&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO immediately terminates said permission or license. &nbsp;In order to&nbsp;<\/p>\r\n<p>\r\n\tcollect, aggregate, copy, duplicate, display or make derivative use of the&nbsp;<\/p>\r\n<p>\r\n\tthe Service or any Content made available via the Service for other&nbsp;<\/p>\r\n<p>\r\n\tpurposes (including commercial purposes) not stated herein, you must first&nbsp;<\/p>\r\n<p>\r\n\tobtain a license from HaitiPRO.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t13. TERMINATION OF SERVICE<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tYou agree that HaitiPRO, in its sole discretion, has the right (but not&nbsp;<\/p>\r\n<p>\r\n\tthe obligation) to delete or deactivate your account, block your email or IP&nbsp;<\/p>\r\n<p>\r\n\taddress, or otherwise terminate your access to or use of the Service (or any&nbsp;<\/p>\r\n<p>\r\n\tpart thereof), immediately and without notice, and remove and discard any&nbsp;<\/p>\r\n<p>\r\n\tContent within the Service, for any reason, including, without limitation,&nbsp;<\/p>\r\n<p>\r\n\tif HaitiPRO believes that you have acted inconsistently with the letter or&nbsp;<\/p>\r\n<p>\r\n\tspirit of the TOU. Further, you agree that HaitiPRO shall not be liable&nbsp;<\/p>\r\n<p>\r\n\tto you or any third-party for any termination of your access to the Service. &nbsp;<\/p>\r\n<p>\r\n\tFurther, you agree not to attempt to use the Service after said termination. &nbsp;<\/p>\r\n<p>\r\n\tSections 2, 4, 6 and 10-16 shall survive termination of the TOU.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t14. Content displayed on or through the Service is&nbsp;<\/p>\r\n<p>\r\n\tprotected by copyright as a collective work and\/or compilation, pursuant to&nbsp;<\/p>\r\n<p>\r\n\tcopyrights laws, and international conventions. Any reproduction,&nbsp;<\/p>\r\n<p>\r\n\tmodification, creation of derivative works from or redistribution of the&nbsp;<\/p>\r\n<p>\r\n\tsite or the collective work, and\/or copying or reproducing the sites&nbsp;<\/p>\r\n<p>\r\n\tor any portion thereof to any other server or location for further&nbsp;<\/p>\r\n<p>\r\n\treproduction or redistribution is prohibited without the express&nbsp;<\/p>\r\n<p>\r\n\twritten consent of HaitiPRO. You further agree not to reproduce,&nbsp;<\/p>\r\n<p>\r\n\tduplicate or copy Content from the Service without the express written&nbsp;<\/p>\r\n<p>\r\n\tconsent of HaitiPRO, and agree to abide by any and all copyright notices&nbsp;<\/p>\r\n<p>\r\n\tdisplayed on the Service. You may not decompile or disassemble, reverse&nbsp;<\/p>\r\n<p>\r\n\tengineer or otherwise attempt to discover any source code contained in the&nbsp;<\/p>\r\n<p>\r\n\tService. HaitiPRO is a registered mark in the U.S. Patent&nbsp;<\/p>\r\n<p>\r\n\tand Trademark Office.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tAlthough HaitiPRO does not claim ownership of content that its users post,&nbsp;<\/p>\r\n<p>\r\n\tby posting Content to any public area of the Service, you automatically&nbsp;<\/p>\r\n<p>\r\n\tgrant, and you represent and warrant that you have the right to grant, to&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO an irrevocable, perpetual, non-exclusive, fully paid, worldwide&nbsp;<\/p>\r\n<p>\r\n\tlicense to use, copy, perform, display, and distribute said Content and to&nbsp;<\/p>\r\n<p>\r\n\tprepare derivative works of, or incorporate into other works, said Content,&nbsp;<\/p>\r\n<p>\r\n\tand to grant and authorize sublicenses (through multiple tiers) of the&nbsp;<\/p>\r\n<p>\r\n\tforegoing. INDEMNITY<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tYou agree to indemnify and hold HaitiPRO, its officers, subsidiaries,&nbsp;<\/p>\r\n<p>\r\n\taffiliates, successors, assigns, directors, officers, agents, service&nbsp;<\/p>\r\n<p>\r\n\tproviders, suppliers and employees, harmless from any claim or demand,&nbsp;<\/p>\r\n<p>\r\n\tincluding reasonable attorney fees and court costs, made by any third party&nbsp;<\/p>\r\n<p>\r\n\tdue to or arising out of Content you submit, post or make available through&nbsp;<\/p>\r\n<p>\r\n\tthe Service, your use of the Service, your violation of the TOU, your&nbsp;<\/p>\r\n<p>\r\n\tbreach of any of the representations and warranties herein, or your&nbsp;<\/p>\r\n<p>\r\n\tviolation of any rights of another.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t18. GENERAL INFORMATION<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tThe TOU constitute the entire agreement between you and HaitiPRO and&nbsp;<\/p>\r\n<p>\r\n\tgovern your use of the Service, superceding any prior agreements between you&nbsp;<\/p>\r\n<p>\r\n\tand HaitiPRO. The TOU and the relationship between you and HaitiPRO&nbsp;<\/p>\r\n<p>\r\n\tshall be governed by the laws of the State of California without regard to&nbsp;<\/p>\r\n<p>\r\n\tits conflict of law provisions. You and HaitiPRO agree to submit to the&nbsp;<\/p>\r\n<p>\r\n\tpersonal and exclusive jurisdiction of the courts located within the county&nbsp;<\/p>\r\n<p>\r\n\tof San Francisco, California. The failure of HaitiPRO to exercise or&nbsp;<\/p>\r\n<p>\r\n\tenforce any right or provision of the TOU shall not constitute a waiver of&nbsp;<\/p>\r\n<p>\r\n\tsuch right or provision. If any provision of the TOU is found by a court&nbsp;<\/p>\r\n<p>\r\n\tof competent jurisdiction to be invalid, the parties nevertheless agree that&nbsp;<\/p>\r\n<p>\r\n\tthe court should endeavor to give effect to the parties&#39; intentions as&nbsp;<\/p>\r\n<p>\r\n\treflected in the provision, and the other provisions of the TOU remain in&nbsp;<\/p>\r\n<p>\r\n\tfull force and effect. You agree that regardless of any statute or law to&nbsp;<\/p>\r\n<p>\r\n\tthe contrary, any claim or cause of action arising out of or related to use&nbsp;<\/p>\r\n<p>\r\n\tof the Service or the TOU must be filed within one (1) year after such&nbsp;<\/p>\r\n<p>\r\n\tclaim or cause of action arose or be forever barred.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\t19. VIOLATION OF TERMS AND LIQUIDATED DAMAGES<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tPlease report any violations of the TOU, by flagging the posting(s) for&nbsp;<\/p>\r\n<p>\r\n\treview, or by emailing to:<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\thaitinet@gmail.com<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tOur failure to act with respect to a breach by you or others does not waive our&nbsp;<\/p>\r\n<p>\r\n\tright to act with respect to subsequent or similar breaches.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tYou understand and agree that, because damages are often difficult to quantify,&nbsp;<\/p>\r\n<p>\r\n\tif it becomes necessary for HaitiPRO to pursue legal action to enforce these&nbsp;<\/p>\r\n<p>\r\n\tTerms, you will be liable to pay HaitiPRO the following amounts as liquidated&nbsp;<\/p>\r\n<p>\r\n\tdamages, which you accept as reasonable estimates of HaitiPROs&#39; damages for&nbsp;<\/p>\r\n<p>\r\n\tthe specified breaches of these Terms:<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\ta. If you post a message that (1) impersonates any person or entity; (2)&nbsp;<\/p>\r\n<p>\r\n\tfalsely states or otherwise misrepresents your affiliation with a person or&nbsp;<\/p>\r\n<p>\r\n\tentity; or (3) that includes personal or identifying information about&nbsp;<\/p>\r\n<p>\r\n\tanother person without that person&#39;s explicit consent, you agree to pay&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO one thousand dollars ($1,000) for each such message. &nbsp;<\/p>\r\n<p>\r\n\tThis provision does not apply to Content that constitutes lawful non-deceptive&nbsp;<\/p>\r\n<p>\r\n\tparody of public figures.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tb. If HaitiPRO establishes limits on the frequency with which you may&nbsp;<\/p>\r\n<p>\r\n\taccess the Service, or terminates your access to or use of the Service, you&nbsp;<\/p>\r\n<p>\r\n\tagree to pay HaitiPRO one hundred dollars ($100) for each message posted&nbsp;<\/p>\r\n<p>\r\n\tin excess of such limits or for each day on which you access HaitiPRO in&nbsp;<\/p>\r\n<p>\r\n\texcess of such limits, whichever is higher.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tc. If you send unsolicited email advertisements to HaitiPRO email&nbsp;<\/p>\r\n<p>\r\n\taddresses or through HaitiPRO computer systems, you agree to pay&nbsp;<\/p>\r\n<p>\r\n\tHaitiPRO twenty five dollars ($25) for each such email.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\td. If you post Content in violation of the TOU, other than as described&nbsp;<\/p>\r\n<p>\r\n\tabove, you agree to pay HaitiPRO one hundred dollars ($100) for each&nbsp;<\/p>\r\n<p>\r\n\tItem of Content posted. &nbsp;In its sole discretion, HaitiPRO may elect&nbsp;<\/p>\r\n<p>\r\n\tto issue a warning before assessing damages.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\te. If you are a Posting Agent that uses the Service in violation of the<\/p>\r\n<p>\r\n\tTOU, in addition to any liquidated damages under clause (d), you agree to<\/p>\r\n<p>\r\n\tpay HaitiPRO one hundred dollars ($100) for each and every Item you post<\/p>\r\n<p>\r\n\tin violation of the TOU. &nbsp;A Posting Agent will also be deemed an agent of<\/p>\r\n<p>\r\n\tthe party engaging the Posting Agent to access the Service (the<\/p>\r\n<p>\r\n\t&quot;Principal&quot;), and the Principal (by engaging the Posting Agent in<\/p>\r\n<p>\r\n\tviolation of the TOU) agrees to pay HaitiPRO an additional one hundred<\/p>\r\n<p>\r\n\tdollars ($100) for each Item posted by the Posting Agent on behalf of<\/p>\r\n<p>\r\n\tthe Principal in violation of the TOU.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tf. If you aggregate, display, copy, duplicate, reproduce, or otherwise&nbsp;<\/p>\r\n<p>\r\n\texploit for any purpose any Content (except for your own Content) in&nbsp;<\/p>\r\n<p>\r\n\tviolation of these Terms without HaitiPRO&#39;s express written permission,&nbsp;<\/p>\r\n<p>\r\n\tyou agree to pay HaitiPRO three thousand dollars ($3,000) for each day&nbsp;<\/p>\r\n<p>\r\n\ton which you engage in such conduct.<\/p>\r\n<p>\r\n\t&nbsp;<\/p>\r\n<p>\r\n\tOtherwise, you agree to pay HaitiPRO&#39;s actual damages, to the extent such&nbsp;<\/p>\r\n<p>\r\n\tactual damages can be reasonably calculated.
